The buyer must deposit money with Vyapar Tech India equal to the platform-specified fees, which are determined by adding the commitment charge to the total indicative value of the inquiry. Vyapar Tech India would block the commitment (performance guarantee) amount as stipulated by the platform if the seller shares the credit card or debit card details prior to engaging in dynamic negotiation. Alternatively, the seller will deposit the commitment fee to the escrow/nodal/current account of Tradologie.com as may be appropriate from time to time. The money will stay blocked until the entire procedure is finished, and it will only be appropriated if the provider is successful in obtaining an order. The Process of Dynamic Negotiation

1. The platform shall provide a live dynamic Negotiation time frame within which the participants can negotiate the pricing / rates and terms which they are willing to transact. The Buyer and Seller shall be able to interact with each other through the platform to receive any details and clarify any doubts with respect to the transaction.

2. The rates offered by each manufacturer and seller will be visible to the buyer. The price / rates entered by the Seller shall only be visible to the Buyer and during live dynamic Negotiation, the Seller shall only be able to see the lowest price quoted by other manufacturers / suppliers and the number of participants.

3. The buyer will be able to settle the order, including dividing it among several vendors, at the end of the live dynamic negotiation.

4. Upon the finalization of the terms & conditions, the agreements and conditions of fulfillment as enlisted on Vyapar Tech India shall be binding on both the buyers and sellers.

Order placement and refunds

1. If the seller is not chosen to meet the buyer's needs, they will not be charged a commission on the credit card, and the blocked amount will be released after certain participation fees are subtracted, as indicated on the portal periodically based on the seller's membership type. If the seller had deposited the commitment money to the escrow/nodal/current account of Vyapar Tech India, then the payment will be made to the seller from the escrow/nodal/current account of Vyapar Tech India, after deducting certain participation charges as intimated on the portal from time to time depending upon the type of membership subscribed by the seller. Vyapar Tech India will be entitled to receive the commission from the seller as agreed upon at the time of registration for every successful transaction.

2. Until the buyer and seller agree on the terms and conditions of fulfillment and the payment document or payment in accordance with the terms initially intimated is shared to the seller's satisfaction and is intimated through the portal, Tradologie.com will retain the amount received or blocked from the buyer. After deducting any platform fees, the buyer will receive a refund of the amount they received prior to the dynamic negotiation process. In case the buyer fails to fulfill its payment obligation as per the policies of the platform and commitments in the timeframe stipulated by the platform, the amount received/ blocked from the buyer shall be credited to the account of the portal and be used to compensate the supplier as per the policies of the platform.

3. The buyer will be able to use the platform to pay the seller. In compliance with the terms of the agreement between the Seller and the Buyer as well as the platform's policies as periodically announced, the money paid by the Buyer will be deposited into a designated account and given to the Seller. In such event, the Seller shall be duly advised of the receipt of the payment and instructed to execute the transaction.

6. Our Service

The User shall be responsible for maintaining the secrecy of the display name and confidential password and shall be liable for any activities including any unauthorized usage that occur under your Display name and confidential password.

◉ Vyapar Tech India reserves the right to limit, terminate and deny the right to use or access the Site and Service(s) of any User for any reason whatsoever, including, but not limited to, infringing any third party’s intellectual property right, breaching this Agreement, and incurring any liability to Vyapar Tech India. A user's registration application may be denied by Vyapar Tech India for any reason. ◉ The payments can be made by E-Seller-facility or such other means as may be prescribed.

◉ In order to register on the site, use any services, or have a Vyapar Tech India account, each user will be needed to submit Registration Data, which is information or material about your entity, business, or goods/services. Each User represents, warrants and agrees that (a) such information and material, whether submitted during the registration process or thereafter throughout the continuation of the use of the Site or Service, is true, accurate, current and complete, and (b) you will maintain and promptly amend all information and material to keep it true, accurate, current and complete.

◉ A set of User ID and Password is unique to a single account. ◉ The Seller shall follow uniform and standard description of the products and the units of measures in respect of the same. The seller may receive advice from Vyapar Tech India at any moment regarding the standard descriptions and units of measurement that the seller should use for the products that are listed on the platform.

◉ The vendor will be accountable for delivering goods that fulfill the terms of the contract that the customer and seller have agreed upon.

◉ In accordance with the procedures that will be presented on the website or the process document, the seller will periodically update Vyapar Tech India on the state and progress of its contract with the buyer.

◉ Vyapar Tech India at its sole discretion shall have the right to having the products inspected either during manufacturing or at any time before delivery to the buyer. This examination will supplement any verification or inspection that the buyer is required to perform in accordance with the conditions of the supply contract. The seller will offer the necessary assistance and facilitation for such an inspection by Vyapar Tech India or its approved agent.

Vyapar Tech India neither originates nor starts the transmission nor selects the sender and receiver of the message, nor edits the information contained in the transmission.

The Services are supplied to the User conditioned on the acceptance of the User without modification of the terms, conditions, and notifications included herein. Use of the Site by a User indicates agreement to all such terms, conditions, and notices. If the User does not agree with any portion of the Agreement, these terms, conditions and notices, it/they must not use the Services.

However, Vyapar Tech India retains the right to deny users access to specific sections or functionalities of the website at any time, for any reason, and with or without prior notice. Users must undertake interaction or transaction with organizations and/or individuals located on or via the Site, with reasonable caution and after completing due diligence on such organization and/or individual. For any illegal or fraudulent engagement or transaction with organizations and/or individuals located on or via the Site, neither Vyapar Tech India nor its directors, employees, officers, or agents shall be liable to any User or otherwise.

15. Term and Termination

◉ This agreement's duration will correspond to the duration of the registration's validity and continuation. On the Date of Termination, the agreement will automatically end.s

◉ If the participant violates the terms of use in any significant way, Vyapar Tech India may terminate the agreement.

◉ All rights and responsibilities earned during the time of this agreement will remain binding on the parties until they are fully discharged, regardless of the agreement's termination. Moreover, the confidentiality and indemnity terms of this agreement will survive the termination.

16. Confidentiality

◉ The parties hereby agree that they will not use any information regarding the business and affairs of the other party that may come to their knowledge during the duration of this agreement for their own purposes or disclose it to any third party or any of their users, customers, or clients.

◉ Each party shall consider and maintain as confidential any information pertaining to the business of the other party, or its parent, subsidiaries, or associates, that it receives as a result of this agreement, both during the term of this agreement and even after its determination. Each party undertakes to seek the other party's prior written consent before disclosing any such Confidential Information.

◉ To prevent disclosure or unauthorized use of the confidential information, each party must take the same precautions. The parties hereunder additionally agree that access to all Confidential Information shall be limited to only such employees or agents who need to know such information for the purposes of this Agreement.

◉ Users or any of or their Directors, employees, agents or affiliates shall not any sensitive data of Vyapar Tech India while dealing with potential customers.

◉ All Confidential Information shall remain the property of the party releasing it, and such Confidential Information.

◉ Each party shall not reveal, divulge, part with, or discuss any Confidential Information with any third party without the other party's express written consent.

◉ If a court order or any competent governmental authority with jurisdiction over a party requires the disclosure of any confidential information, that party must notify the other party in writing and in sufficient detail as soon as the court order, legal or regulatory request, or similar procedure is received, to allow the opposing party to apply for a suitable protection order (which the opposing party may pursue at its own expenses). A copy of the court order, legal or regulatory request or similar process shall accompany such communication.

17. Force Maejure

◉ If the performance of any obligations by any party as specified in this agreement is prevented, restricted, delayed or interfered by reason of force majeure then notwithstanding anything hereinbefore contained, the party affected shall be excused from its performance to the extent such performance relates to prevention, restriction, delay or interference and provided the party so affected uses its best efforts to remove such cause of non-performance and when removed the party shall continue performance with utmost urgency. For the purposes of this clause, "Force Majeure" refers to and encompasses fire, explosion, cyclone, floods, war, revolution, embargo blockage, any law, order, demands or requirements of any government or statutory authority, strikes that are not instigated to avoid obligations herein, or any other circumstances outside the control of the affected party.

18. Compliance with Laws

◉ The parties hereto agree that they shall comply with all laws, rules and codes in performing their obligations hereunder, including the purchase of licenses, permits and certificates and payment of taxes where needed.

◉ Users agree to adhere by the Rules and Regulations issued by Vyapar Tech India as may be relevant from time to time.

19. Taxes

◉ Each party shall be responsible for paying all taxes to the authorities independently and in compliance with any applicable rules in their individual jurisdiction, subject to what is indicated here.

20. Limitation of Liability

◉ It is officially agreed and confirmed that Vyapar Tech India's involvement is limited to facilitating the buyer-seller transaction. Vyapar Tech India will do everything in its power to step in and settle any disputes that may arise between the buyer and the seller, including but not limited to disagreements over quality, quantity, or payment. As a result, Vyapar Tech India will not be held responsible for any claims.

21. Indemnity

◉ Users agree to indemnify and hold Vyapar Tech India indemnified against any losses, expenses, claims, and damages incurred or suffered, or as may be suffered by Vyapar Tech India, due to lapses, errors, actions, omissions, negligence, etc. on the part of Users or any of their staff, employees, agents, associates, directors, etc. while carrying out the obligations under this agreement.

22. With Users

◉ The parties hereby confirm and agree that Vyapar Tech India will only serve as a facilitator. Vyapar Tech India will make every effort to resolve any relevant concerns between users, but it will not be held accountable or involved in any disputes between users. As a result, it cannot be held liable for any obligations or claims that the parties may have against one another.

◉ When the buyer and seller agree that Vyapar Tech India will be responsible for resolving any disputes or differences in quality or quantities, Vyapar Tech India will designate an impartial, independent arbitrator with sufficient technical expertise, and the arbitrator's decision will be final and binding on the parties. The rules and processes governing such arbitration will be posted on Vyapar Tech India's website.

◉ Notwithstanding any dispute between the buyer and the seller, Vyapar Tech India shall remain harmless and indemnified and no claim, whatsoever, shall lie against Vyapar Tech India, its affiliates, representatives, management etc.

23. Arbitration and Jurisdiction

◉ In the case of any dispute or any difference between Users and Vyapar Tech India arising out of or in relation to this agreement including but not limited to disputes or differences as to the validity of this agreement or interpretation of any of the provisions of this agreement or losses or damages arising under this agreement, the same shall be resolved by mutual discussion. In the event that the disagreement or event is not addressed by mutual discussion, the same shall be referred to the Sole Arbitrator chosen as per the policy provided down on the website. The Arbitration and Conciliation Act of 1996, along with any current changes, will regulate this type of arbitration. The site of Arbitration shall be Uttar Pradesh and any disputes arising out of such arbitration shall be subject to the jurisdiction of Uttar Pradesh Courts only.

◉ The contents of this article shall survive the end of this agreement.

24. Additional Guarantees

◉ Users agree to execute and deliver any additional documents and take any additional actions that may be necessary, appropriate, or reasonably required to carry out or evidence the transactions contemplated herein in connection with this agreement and all transactions contemplated by this agreement.

25. Assignment & Transfer

◉ The Users shall not be entitled to assign or otherwise transfer this agreement or any benefits, rights, responsibilities or interests hereunder whether in whole or in part to any third party other external agency without the prior written consent of Vyapar Tech India.

26. Grievance Redressal

◉ All complaints to the issue Officer must be submitted in writing and include a thorough explanation of the user's issue.

◉ All complaints must be resolved by the Grievance Officer within a month of the complaint's receipt.

27. Corporate Authority

◉ Users and Vyapar Tech India affirm that they have authorized the execution and conclusion of this agreement by taking all required corporate actions, and they will provide adequate proof of this upon request.

28. Agency

◉ This agreement is on a principal-to-principal basis and will not establish an employer-employee relationship or be interpreted as establishing an agency or partnership between Vyapar Tech India and the users.

29. Severability

◉ If any term, clause or provision of this agreement shall be judged to be invalid for any reason whatsoever, such invalidity shall not affect the validity or operation of any other term, clause or provision of this agreement unless the invalidity of such term, clause or provision of this agreement is such that it renders the very purpose of this agreement void in which case the entire agreement shall terminate.

30. Waiver

◉ No party's rights shall be prejudiced or restricted by any forbearance, delay, or indulgence in enforcing any of the provisions of this agreement, nor shall any waiver of its rights operate as a waiver of any subsequent breach. Additionally, no right, power, or remedy granted to or reserved for the parties herein shall be exclusive of any other right, power, or remedy available to that party, and each right, power, or remedy shall be cumulative.

31. Notices

◉ All notices under this agreement may be served on the addresses of the Users specified in the registration form and the address of Vyapar Tech India as mentioned in its website.

32. Governing Law

◉ This agreement shall be governed by the substantive and procedural laws of India and the courts in Uttar Pradesh shall have exclusive jurisdiction on any disputes arising out of this agreement.
